Terms of Service

These Terms of Service ("Terms") govern your access to and use of Signul (the "Service"), operated by [LEGAL_ENTITY_NAME] ("Signul", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a company, you represent that you have authority to bind that company, and "you" refers to that company.

1. What Signul does

Signul searches the public web for business events ("signals") matching criteria you configure (a "watchlist") and emails you a digest of matches. For each detection, Signul provides the company name, a summary, the detected date, and a public source link. Signul does not perform third-party contact enrichment: it does not purchase, license, or attach private contact data (personal emails, direct phone numbers) from data vendors. Any contact information shown is limited to what is publicly available in the source material itself.

2. Accuracy disclaimer

Signals are identified using automated web search and AI-based extraction (including large language models). Detections may be incomplete, delayed, or incorrect. Signul does not verify each detection against a human reviewer before delivery, and you should independently confirm any detection before relying on it for a business decision. The Service is provided for informational purposes only and does not constitute business, legal, or financial advice.

3. Your account

You must provide accurate information when creating an account and are responsible for activity that occurs under it. You must be at least 18 years old to use the Service. Notify us promptly of any unauthorized use of your account.

4. Acceptable use

You agree not to:

• Use the Service to violate any applicable law, including anti-spam laws (e.g. CASL), data protection laws (e.g. GDPR, Québec Law 25, PIPEDA), or any law governing unsolicited commercial communication;
• Use detections or any information from the Service to harass, stalk, or unlawfully target any individual;
• Attempt to circumvent rate limits, scrape the Service itself, or interfere with its normal operation;
• Resell or redistribute the Service's output as a data product to third parties without our written consent;
• Use the Service to build a competing product.

You are solely responsible for ensuring your own outreach to companies or individuals identified through Signul complies with applicable law, including CASL, GDPR, PIPEDA, and Québec Law 25. Signul provides signals; it does not manage, send, or approve your outreach.

5. Subscriptions and billing

Paid plans are billed in advance on a recurring basis through our payment processor, Stripe. By subscribing, you authorize recurring charges until you cancel. No refunds for partial billing periods; cancel anytime, effective at the end of the current period. You may cancel at any time from your account; access continues until the end of the current billing period. New accounts receive a limited number of free manual runs; this allowance is not a trial of paid features and does not include scheduled/automated runs.

6. Intellectual property

We own all rights in the Service itself (software, design, branding). You own your watchlist configuration and any custom signal descriptions you write. We do not claim ownership of business signal data, which is drawn from public sources.

7. Termination

We may suspend or terminate your account if you violate these Terms, including Section 4. You may stop using the Service and delete your account at any time. Sections 2, 6, 8, 9, and 10 survive termination.

8. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DETECTION IS ACCURATE OR COMPLETE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, [LEGAL_ENTITY_NAME] WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

10. Indemnification

You agree to indemnify and hold [LEGAL_ENTITY_NAME] harmless from any claim arising from your use of the Service in violation of these Terms or applicable law, including any claim arising from your outreach to individuals or companies identified via the Service.
